Limitation of Liability

In no event shall Peridot Scientific Communications, LLC (operating as "The Plant Editors") be liable to the Client for any act, omission, or error in judgment performed in good faith and reasonably believed to be within the scope of this Proposal, provided such act or omission does not constitute gross negligence or knowing violations of the law. Peridot Scientific Communications, LLC shall not be liable for any indirect, consequential, or incidental damages (including, but not limited to, loss of grants, profit, or reputation). In no event shall the total aggregate liability of Peridot Scientific Communications, LLC exceed the amount actually paid by the Client for the specific project giving rise to the claim.

Dispute Resolution & Governing Law

In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiations and mediation. If unsuccessful, both parties agree to participate in binding arbitration in Cook County, IL, USA, or such other location as the parties may mutually agree. This agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

Use of Technology and AI

Peridot Scientific Communications, LLC reserves the right to utilize specialized third-party tools, including software and Artificial Intelligence (AI) technologies, to support and enhance the performance of its services, and makes no representations or warranties that services will be performed without the use of such tools or that all aspects of the services will be free from automated or algorithmic assistance. The Client acknowledges and agrees that individual employees or contractors may, in the course of performing services, make use of such tools to support productivity and efficiency. Peridot Scientific Communications, LLC does not represent that it can control or monitor the data-handling or training practices or policies of any third-party tool providers. Any use of such tools by or on behalf of Peridot Scientific Communications, LLC will be used in a manner consistent with the confidentiality obligations of this agreement and will not intentionally compromise the original nature or integrity of the work product. Peridot Scientific Communications, LLC does not utilize or knowingly permit Client data to be used to train third-party, public AI models. Notwithstanding the foregoing, Peridot Scientific Communications, LLC reserves the right to use Client data in connection with the provision of services to develop, use, and improve its own internal and/or proprietary models and systems, provided that such development does not disclose Client data to third parties or otherwise use such content in a manner inconsistent with this agreement.

Intellectual Property & Training License

The Client retains full and exclusive ownership of all underlying research, raw data, and original content. By submitting a project, the Client grants Peridot Scientific Communications, LLC a non-exclusive, perpetual, and royalty-free license to utilize anonymized edits and linguistic improvements generated during the project. This use is strictly limited to internal staff training, quality assurance, and the development of internal editing tools. Peridot Scientific Communications, LLC warrants that such use will not disclose the Client’s identity or the proprietary scientific findings of the work.

Legal Compliance & Sanctions

By engaging the services of Peridot Scientific Communications, LLC, the Client represents and warrants that they are legally permitted to conduct business with a U.S. company, and that neither the Client nor any individual associated with the project is named on any list of prohibited individuals or entities, including but not limited to the OFSI Consolidated List, the U.S. Specially Designated Nationals (SDN) list, and the EU Consolidated List. Peridot Scientific Communications, LLC reserves the right to immediately terminate any project or agreement without refund if a violation of these representations is discovered.

Privacy Policy

Plant Editors collects, via this website and via email, Personally Identifiable Information (“PII”) such as name, e-mail address, and organizational affiliation. Further PII may be contained in manuscripts submitted for editing, or through the billing process. This PII is collected to facilitate communications, quality assurance, and billing for manuscript editing. PII may be shared with science editors, administrative staff, third-party accounting software vendors and others that participate in the editing process. Because science editing is often a multi-step process, and because client relationships are frequently ongoing, PII is stored indefinitely to facilitate ongoing project review and to support internal quality control procedures.
